0) Introduction & Scope
Welcome to Tectus Protection, Inc. (“Tectus,” “we,” “our,” or “us”). These Website Terms of Service (the “Terms”) govern visitation and general use of our websites, mobile apps, and online materials (collectively, the “Platform”). These Terms are for browsing and general access—you are not signing a services contract by visiting the site.
By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
Order of precedence. If there’s a conflict: (i) Job-specific terms in the Job details (including insurance and special conditions); then (ii) the Client Terms & Conditions (for people/companies requesting or purchasing services); then (iii) the Security Provider Participation Agreement (Vendor Terms) (for providers); then (iv) these Website Terms.
1) Marketplace Role (We’re Not the Service Provider)
Tectus operates a technology marketplace and coordination layer. We do not directly provide security services and do not employ field personnel. Any services you obtain through the Platform are provided by independent third-party Vendors, who are solely responsible for their personnel, licensing, insurance, training, compliance, and performance.
2) Geographic Availability (Not Nationwide)
Services are available only in select markets and not in all areas. Coverage varies and may change. Listings of locations are informational only and not a guarantee of service.
3) Eligibility; Accounts; Security; ESIGN
You must be at least 18 to use the Platform. If you create an account, you agree to provide accurate information, keep credentials secure, and are responsible for account activity.
Electronic records & signatures. By using the Platform, creating an account, or clicking UI elements that indicate consent (e.g., “I agree,” “Request/Book,” “Accept”), you consent to electronic communications and e-signatures/records under ESIGN (15 U.S.C. §7001 et seq.) and state UETA. (Your Client Terms or Vendor Terms will include their own formal acceptance flows for bookings and Jobs.)
4) Acceptable Use
Don’t use the Platform to violate law, harm others, scrape or reverse engineer (except as allowed by law), bypass security, misrepresent identity, upload malware, or infringe rights. We may monitor, suspend, or terminate access for violations.
5) Bookings, Payments & Fees (Summary Reference)
If you request or book services, billing, fees, refunds, taxes, and timing are governed by the Client Terms & Conditions. If you provide services as a Vendor, payouts, fees, setoffs/holds, and documentation are governed by the Vendor Terms. Those documents control over this Section if there’s any conflict.
6) No Emergency Services
The Platform is not a substitute for emergency response. If you are in an emergency, call 911 or your local emergency number.
7) Content & Intellectual Property; Feedback

The Platform and all content on it (including software/code, UX/designs, text, graphics, images, video, audio, compilations, and databases) and all related intellectual property rights are owned by Tectus or its licensors and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. No other rights are granted—by implication or otherwise. You may not remove proprietary notices or copy, modify, distribute, or create derivative works except as expressly allowed by these Terms.
“Tectus,” “Tectus Protection,” our logos, word marks, service marks, and trade dress—whether registered or unregistered—are Tectus Marks. All other marks are the property of their respective owners. You may not use any Marks without our prior written consent.
8) User Content; Reviews; License
If you post or submit content (e.g., reviews, messages, images), you represent you have rights to it; it’s accurate and lawful; and it doesn’t include others’ confidential info. You grant Tectus a worldwide, non-exclusive, royalty-free, sublicensable license to host, use, reproduce, modify, publish, distribute, and display that content in connection with operating and improving the Platform. We may moderate or remove content at our discretion.
9) Privacy; Electronic Comms
Your use is subject to our Privacy Policy, which explains how we collect, use, and disclose information. By using the Platform, you consent to those practices. You consent to receive transactional emails/SMS/in-app messages; you can opt out of marketing per the Privacy Policy.
10) Third-Party Services & Links
The Platform may link to or interoperate with third-party products/services (payments, mapping, identity verification, background/eligibility checks). We don’t control them and aren’t responsible for their content or terms.
11) Mobile App Terms (Apple/Google)
If you download our apps, you must comply with the app store terms. The store is not responsible for support or claims related to the apps. Subject to law, the store is a third-party beneficiary of this Section.
12) Copyright Policy (DMCA)
Tectus respects intellectual property rights and will respond to notices of alleged infringement consistent with the Digital Millennium Copyright Act, 17 U.S.C. §512.

B. DMCA Infringement Notice (17 U.S.C. §512(c)(3))
Your written notice must include all of the following or it may be ineffective:
A physical or electronic signature of the copyright owner or authorized agent.
Identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works are covered.
Identification of the material claimed to be infringing (or to be the subject of infringing activity) and information reasonably sufficient to permit us to locate the material (e.g., direct URL(s) and description).
Your contact information: name, address, telephone number, and email address.
A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.
A statement that the information in the notice is accurate, and under penalty of perjury, that you are the copyright owner or authorized to act on the owner’s behalf.
Upon receipt of a compliant notice, we may remove or disable access to the material and may notify the user who posted it.
C. Counter-Notice (17 U.S.C. §512(g))
If your content was removed and you believe it was removed by mistake or misidentification, you may submit a counter-notice containing:
Your physical or electronic signature.
Identification of the material that has been removed or disabled and the location where it appeared before removal.
A statement under penalty of perjury that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification.
Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for your address, or if outside the U.S., for any district in which Tectus may be found, and that you will accept service of process from the person who provided the original notice or their agent.
If we receive a valid counter-notice, we may restore the material between 10 and 14 business days after receipt, unless the original complainant informs us that they have filed a court action seeking to restrain the user from engaging in infringing activity.
D. Repeat-Infringer Policy
In appropriate circumstances, Tectus will terminate accounts of repeat infringers. We also may remove content, limit account features, or take other reasonable steps to deter infringement.
E. Standard Technical Measures
We accommodate and do not interfere with standard technical measures recognized by the industry that are used by copyright owners to identify or protect their works.
F. Misrepresentations (17 U.S.C. §512(f))
Anyone who knowingly makes material misrepresentations in a notice or counter-notice may be liable for damages (including costs and attorneys’ fees) incurred by the alleged infringer, the service provider, or the copyright owner.
G. Forwarding of Notices
We may forward the full notice (including contact information) to the user who posted the material so they can understand and respond to the claim.13) Export Controls; Sanctions; Anti-Corruption
You are not in a sanctioned jurisdiction or on a restricted list and will comply with U.S. and applicable export/sanctions laws and anti-corruption laws (including the FCPA and UK Bribery Act).
14) Beta Features; Changes; Availability; Force Majeure
We may offer beta/pre-release features that can change or be discontinued and may be less reliable. We may modify, suspend, or discontinue any aspect of the Platform. We aren’t liable for delays or failures caused by events beyond reasonable control (force majeure, including public-health emergencies, major outages, government actions).
15) Disclaimers
To the maximum extent permitted by law, the Platform is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties (express, implied, or statutory), including merchantability, fitness for a particular purpose, title, and non-infringement. We don’t warrant uninterrupted or error-free operation, or the availability, legality, suitability, safety, licensing, insurance, or quality of any Vendor or service. You are responsible for evaluating Vendors and services.
16) Limitation of Liability
To the maximum extent permitted by law, Tectus and its affiliates, officers, directors, employees, and agents are not liable for: indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill; or damages related to Vendor conduct, services, delays, cancellations, unavailability, or your use of (or inability to use) the Platform—even if advised of the possibility.
In all cases, our aggregate liability arising out of or relating to the Platform will not exceed the greater of (i) $100 or (ii) the amounts you paid to us (if any) for the transaction giving rise to the claim. (Job-related limits are governed by your Client Terms or Vendor Terms.)
17) Indemnification
You will indemnify and hold harmless Tectus and its affiliates, officers, directors, employees, and agents from claims, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your misuse of the Platform; (b) your breach of these Terms; (c) your content; or (d) your interactions with Vendors.
18) Informal Resolution; Arbitration; Class/Jury Waivers; Delegation
Informal resolution. Before filing a claim, email support@tectusapp.com with “Dispute” in the subject and a brief description; we’ll try to resolve within 30 days.
Arbitration (FAA/AAA; Denver). Except for individual small-claims matters and applications for temporary/preliminary injunctive relief to protect rights pending arbitration, all disputes arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration on an individual basis under the Federal Arbitration Act (9 U.S.C. §1 et seq.), administered by the American Arbitration Association under its Commercial Rules before a single arbitrator. Venue/seat: Denver, Colorado (or video at the arbitrator’s discretion).
Class/representative waiver. No class, collective, private attorney general, or representative actions.
Jury waiver. If any dispute is found non-arbitrable, the parties waive jury trial.
Delegation. The arbitrator has exclusive authority to decide arbitrability, scope, enforceability, formation, or interpretation of this arbitration agreement.
Fees/relief. AAA consumer/comm rules on fees apply; the arbitrator may award individual relief permitted by law but may not award relief for or against non-parties.
19) Term; Suspension; Termination
These Terms apply while you access or use the Platform. We may suspend or terminate access (including accounts) for suspected fraud, legal non-compliance, or violations. Termination doesn’t affect obligations that reasonably survive (see §24).
20) Notices (“Notice”) & Service by Email (mirrors Client/Vendor approach)
We may provide Notice via the Platform, in-app messages, email, or SMS to contacts in your account; keep your contact details current.
Service for temp/prelim injunctions & arbitration. In addition to methods allowed by law, the parties consent to service by email for (i) applications and papers for temporary or preliminary injunctive relief, and (ii) arbitration demands, orders, awards, and related filings, by sending to the last known account emails and support@tectusapp.com. Email service is deemed effective on successful transmission (or next business day if sent after 5:00 p.m. local time). This is not consent to email service of a civil action on the merits unless a court/arbitral order permits it.

21) Changes to Terms
We may modify these Terms at any time. The Effective Date above shows the latest update. If you continue using the Platform after changes take effect, you accept the revised Terms.
22) Governing Law; Venue
These Terms are governed by Delaware law (conflict rules excluded). Subject to §18, exclusive venue for any court action (e.g., small-claims or injunctive relief) is the state or federal courts located in Denver, Colorado.
23) Miscellaneous; Precedence; No Waiver; Assignment; Entire Agreement
Precedence. For bookings, the Client Terms control; for provider activity, the Vendor Terms control. For everything else, these Website Terms apply.
No waiver. Failure to enforce is not a waiver.
Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or as part of a merger, acquisition, or asset transfer.
Entire agreement. These Terms, plus the Privacy Policy and any applicable Client/Vendor Terms, are the entire agreement for website/app use.
24) Survival; Severability; Blue-Pencil
Survival. The following survive termination/expiration: §§0–3, 5–9, 11–18, 20–24, and any provisions that by nature should survive (including IP, privacy/e-sign consents, disclaimers, limits of liability, indemnities, dispute resolution, and Notices).
Severability & judicial reformation. If any provision is invalid or unenforceable, the rest remains in effect. Any invalid term will be reformed and enforced to the maximum extent permitted to effect the parties’ intent (blue-pencil). For any overbroad time/scope/waiver terms, reduce to the maximum enforceable extent rather than voiding.
